Terms & Conditions
Effective Date: September 30, 2026
These Terms and Conditions explain use of the public Averane website operated by Averane Inc. They are separate from the agreements that govern paid client services.
Website Scope and Acceptance
These Terms apply to your use of the public Averane website at www.weareaverane.com, including its informational pages, Insights, Work, concept studies, interactive demonstrations, and inquiry and booking features. “Averane,” “we,” “us,” and “our” mean Averane Inc.; “you” means the visitor or user.
Please read these Terms before using the Website. They apply to the extent you have received legally sufficient notice and agreed as required by applicable law. If you do not agree, discontinue use. Browsing does not constitute a signature on a client-services agreement.
Client Services and Separate Agreements
Website descriptions are general information, not a binding offer, statement of work, or promise to accept an engagement. Visiting, contacting us, booking a consultation, downloading material, or using an interactive demonstration does not create a client relationship or require either party to purchase or provide services.
Paid engagements are governed by the applicable separately accepted agreements, proposals, statements of work, orders, hosting or support terms, and confidentiality agreements. Those documents determine scope, fees, payment, delivery, ownership, licensing, confidentiality, warranties, support, cancellation, and other service obligations. They control over these Website Terms for the contracted services. These Terms do not amend them or reduce an express contractual commitment.
Website Content and Intellectual Property
Averane or its licensors own the rights they hold in original Website copy, designs, graphics, code, demonstrations, and other protected content. Subject to these Terms and applicable law, you may access the Website and make reasonable copies for personal use or internal evaluation of Averane’s services, retaining relevant ownership notices.
Except as authorized by the rights holder or permitted by law, do not republish, sell, commercially exploit, or represent our protected original materials as your own. No ownership is transferred by accessing the Website. Client assets, third-party trademarks, fonts, stock materials, open-source software, and other licensed components remain subject to their respective owners’ rights and licenses. We do not claim ownership of those materials merely because they appear here.
Nothing here restricts fair use, lawful quotation or citation, ordinary linking, or other rights provided by law. Links must not falsely suggest sponsorship, affiliation, or endorsement. Use of Averane branding to suggest an affiliation requires our permission.
Work, Concepts, and Interactive Studies
Our Work may include independent concept studies, internal experiments, Averane’s own case studies, and identified client work. Read the labels and context for each item. A concept, fictional brand, or demonstration is not evidence of a client engagement, endorsement, production deployment, or measured business result.
Interactive studies illustrate design or strategic ideas. Unless a feature expressly says otherwise, simulated product choices, audience journeys, layouts, and campaign examples do not place orders, accept payments or donations, submit real applications, or operate live infrastructure. Illustrative metrics and examples are not performance predictions.
Actual client work, when identified, must be assessed within its stated scope, dates, and context. Past results and examples do not guarantee comparable outcomes. These Terms do not grant Averane permission to use a visitor’s or client’s name, logo, confidential information, or work in a portfolio; any required permission is handled separately.
Insights and Service Information
Insights, articles, downloads, and other educational material provide general information. They are not individualized legal, tax, accounting, compliance, cybersecurity, or other professional advice. Obtain advice appropriate to your circumstances before relying on material for a significant decision.
We may update Website content, but do not promise that every item is complete, current, or suitable for every situation. Descriptions of design, marketing, hosting, and support capabilities do not guarantee rankings, traffic, conversions, revenue, advertising returns, uninterrupted availability, security outcomes, or other results. Any specific commitments for paid services must be evaluated under the applicable client agreement.
Permitted Use and Automated Access
Use the Website lawfully and without interfering with others. Do not submit malicious code; impersonate others; infringe rights; send spam; attempt unauthorized access; evade access controls; probe or exploit vulnerabilities without authorization; or overload, disrupt, or damage the Website or connected systems.
Legitimate search indexing, AI-assisted discovery, linking, and citation of public pages are permitted subject to applicable law, relevant rights, reasonable technical limits, and published crawler instructions. This permission does not authorize access to nonpublic information, circumvention of restrictions, disruptive bulk extraction, or unrestricted republication or model training with protected content. Contact us if a proposed use requires additional permission.
Inquiries, Booking, and Submissions
Provide accurate information that you are authorized to share. We may use an inquiry, booking request, support submission, or voluntarily supplied file as reasonably needed to review it, respond, and provide the assistance you requested, consistent with our Privacy Policy and any applicable agreement. You retain your rights in your submissions; no general ownership transfer or broad marketing license is created.
Do not send passwords, payment-card data, patient information, or unnecessary sensitive or confidential material through public forms. Arrange an appropriate channel and, when needed, a confidentiality agreement before sharing confidential project information. This caution does not reduce protections required by law, our Privacy Policy, or an existing agreement.
A submission or consultation request does not guarantee availability, response time, acceptance of work, or a particular outcome. Any appointment confirmation or separate booking terms govern the scheduling details they expressly address.
Voluntary Feedback
If you voluntarily offer general, nonconfidential suggestions about improving the Website, you permit Averane to consider and use those suggestions without an obligation to pay you or provide attribution, unless we agree otherwise. This permission does not transfer ownership of your materials or extend to confidential project information, client deliverables, personal information, or content supplied for another agreed purpose.
Third-Party Tools and Links
The Website may link to or embed third-party booking tools, platforms, articles, or other resources. Your use of a third-party service may be subject to its own terms and privacy notice. A link or integration does not by itself indicate endorsement or a guarantee of that service’s accuracy, availability, security, or suitability.
Review the relevant notices before providing information to another provider. Averane remains responsible for its own obligations under applicable law and any separate agreement; these Terms do not transfer those obligations to you.
Privacy, Email, and SMS
Our Privacy Policy explains information practices, cookies, analytics and advertising technologies, communication choices, and privacy requests. Agreement to these Terms is not consent to optional tracking or promotional messages.
We may respond to your inquiries and send communications related to requested services. Follow the unsubscribe instructions in promotional emails to opt out of those messages; essential communications about an ongoing request or service may continue.
Averane plans to offer SMS communications. Text messages will be sent only with your consent. Promotional texts require separate express consent, and that consent is not a condition of purchasing services. Providing a phone number, booking an appointment, or reading or accepting these Terms or the Privacy Policy alone does not constitute promotional SMS consent.
When an SMS program is available, its enrollment disclosure will identify the message purpose and relevant program details. Message frequency may vary and message and data rates may apply. You may withdraw consent by replying STOP or contacting sayhi@weareaverane.com. Reply HELP where supported or use that email for assistance. We will not activate a program without appropriate consent and opt-out processes. See the Privacy Policy for treatment of SMS consent information.
Website Availability and Changes
We may maintain, revise, suspend, or discontinue public Website features, or reasonably restrict access to address abuse, security, legal requirements, or operational issues. We do not promise continuous or error-free Website access. Where appropriate and practicable, we will provide notice of a material restriction affecting you.
These Website provisions do not terminate a client contract, eliminate paid-service obligations, or change a separately agreed support or availability commitment.
Website Disclaimers
To the extent permitted by law, the public Website and its general informational content are provided “as is” and “as available,” without warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted operation. Use your judgment when evaluating the information and protect your own devices and data.
These disclaimers concern the public Website only. They do not disclaim express warranties or responsibilities in a separate client agreement, excuse unlawful conduct, or exclude statutory guarantees or rights that cannot lawfully be excluded.
Limits of Website Liability
To the extent permitted by applicable law, Averane will not be liable for indirect, incidental, special, consequential, or punitive damages arising from use of, or inability to use, the public Website, including resulting loss of profits, data, or business opportunities.
This limitation does not exclude or limit liability for fraud, willful misconduct, gross negligence, or any liability or remedy that applicable law does not allow to be excluded or limited. It does not limit liability under a separately agreed client-services contract. Where a limitation is not permitted, it does not apply. These Terms impose no service-fee-based or other monetary cap on a visitor’s claim.
Governing Law and Disputes
These Website Terms are governed by the laws of the State of Arizona, without applying conflict-of-law rules that would select another jurisdiction’s laws, except where applicable law requires otherwise. This choice does not deprive you of mandatory protections that apply to you.
If a concern arises, you may contact sayhi@weareaverane.com so we can seek an informal resolution. Doing so is not a prerequisite to exercising legal rights and does not shorten or extend a legal deadline.
These Terms do not require arbitration, waive jury-trial or class-action rights, or designate an exclusive court or county. Any court proceeding is subject to applicable jurisdiction and venue rules. A separate client agreement may contain its own dispute provisions for that engagement.
Updates and General Provisions
We may revise these Terms by posting an updated version and effective date. Revisions apply prospectively. Where additional notice or consent is required by law, we will provide or obtain it. Continued use after a revision constitutes acceptance only to the extent legally sufficient notice and assent requirements are met. Revisions do not retroactively alter an accrued claim or automatically amend a separate client agreement.
These Terms address public Website use only and constitute the agreement on that subject to the extent an enforceable agreement is formed. They do not supersede separate client, licensing, confidentiality, or other agreements, or misrepresentations and rights that cannot lawfully be excluded.
If a provision is unenforceable, it may be narrowed only as permitted by law; otherwise it is severed, and the remaining provisions remain effective to the extent possible. A failure or delay to enforce a provision is not a waiver of the right to enforce it later.
Questions and Rights Concerns
For questions about these Terms, permission requests, or concerns about Website content, contact Averane Inc. at sayhi@weareaverane.com.
For an intellectual-property concern, identify the material and its Website location, explain the rights you believe are affected, and provide information allowing us to respond. This is a general contact channel; it is not a representation that Averane has designated a statutory copyright agent.
